Terms of Use

1. Agreement to Terms

By accessing or using Menufier ("the Service"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Evgenii Litvinov, Individual Entrepreneur, registered in Georgia at Georgia, Tbilisi City, Samgori District, Police Lane I, N5 (ID No. 306416964).

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding agreements. If you use the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.

3. The Service

Menufier enables restaurants and food service businesses to create, manage, and publish digital menus accessible via unique public URLs. The Service includes:

• A dashboard to manage your restaurant profile and menu items
• Image upload and storage for menu items and restaurant branding
• Multi-language support for menu content
• A publicly accessible menu page when you choose to publish

4. Account Registration and Security

4.1 Creating an Account

To use the Service, you must register with a valid email address. We use passwordless authentication via magic links sent to your email. You are responsible for maintaining access to the email address associated with your account.

4.2 Account Security

You agree to:

• Keep your email account secure
• Notify us immediately if you suspect unauthorized access
• Not share account access with unauthorized parties

We are not liable for losses resulting from unauthorized use of your account if you have failed to secure your email.

4.3 Account Deletion

You may delete your account at any time through your account settings. Deletion requires confirmation by typing "DELETE" to prevent accidental removal. Upon deletion, your data will be removed according to our Privacy Policy.

5. User Content

5.1 Your Content

"User Content" means all information you provide to the Service, including:

• Restaurant name, description, and address
• Working hours and contact details
• Logo, cover photo, and gallery images
• Menu categories, item names, descriptions, and prices
• Menu item images
• Translations of menu content

You retain ownership of your User Content.

5.2 License to Menufier

By submitting User Content, you grant Menufier a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license continues until you delete your content or account, subject to retention as described in our Privacy Policy.

5.3 Content Restrictions

You agree not to submit content that:

• Infringes any intellectual property rights
• Is defamatory, obscene, or unlawful
• Contains malware or malicious code
• Violates any applicable law or regulation
• Impersonates another person or entity

We reserve the right to remove content that violates these restrictions.

5.4 Menu Accuracy and Legal Compliance

You are solely responsible for the accuracy and legality of your User Content. This includes, but is not limited to:

• Accuracy of menu item prices
• Allergen disclosures and dietary information
• Compliance with local food labeling and consumer protection laws
• Any other legal obligations related to your menu or business

Menufier does not verify or endorse the accuracy of any menu content. You agree to indemnify Menufier against any claims arising from inaccurate or non-compliant menu information.

6. Publishing and Public Pages

6.1 What Becomes Public

When you publish your menu, the following becomes publicly accessible via your unique menu URL:

• Restaurant name, description, and address
• Working hours and contact details you provided
• Logo, cover photo, and gallery images
• Menu categories, item names, descriptions, and prices
• Menu item images

6.2 Indexing and Caching

Important: Public menu pages may be indexed by search engines and cached by browsers or content delivery networks. Once published, you cannot fully control how third parties may copy or cache this content. You can unpublish your menu at any time to remove it from our service, but previously cached or indexed copies remain outside our control.

6.3 Pausing and Unpublishing

You may pause your menu (temporarily hide it while retaining data) or fully unpublish it (remove the public URL and clear published data) at any time through your dashboard.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Scrape, crawl, or harvest data from the Service without permission
• Use automated means to access the Service except as expressly permitted
• Circumvent any access controls or security measures
• Use the Service to send spam or unsolicited communications
• Impersonate Menufier or its representatives
• Resell or redistribute the Service without authorization

Violation of these Terms may result in immediate suspension or termination of your account.

8. Pricing and Payment

We do not currently process payments within the Service. If paid features or subscription plans are introduced in the future, we will provide applicable terms, pricing, and billing procedures at that time. Any payment processing will be handled by third-party payment providers as described in our Privacy Policy.

9. Intellectual Property

9.1 Menufier's Rights

The Service, including its design, functionality, code, trademarks, and documentation, is owned by Menufier and protected by intellectual property laws. These Terms do not grant you any rights to use Menufier's trademarks, logos, or branding without prior written consent.

9.2 Your Rights

You retain all rights to your User Content. Nothing in these Terms transfers ownership of your content to Menufier.

10. Termination and Suspension

10.1 Termination by You

You may stop using the Service and delete your account at any time.

10.2 Termination by Menufier

We may suspend or terminate your access if:

• You violate these Terms
• Your use poses a security risk to the Service
• Continued provision is prohibited by law
• We discontinue the Service (with reasonable notice where possible)

10.3 Content Removal

We may remove, disable access to, or modify any User Content that violates these Terms or that we reasonably believe may create liability for Menufier. Where practicable, we will notify you of such action.

10.4 Effect of Termination

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive (such as indemnification, limitation of liability, and dispute resolution) will remain in effect.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results from using the Service will meet your requirements

12. Limitation of Liability

To the maximum extent permitted by law, Menufier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to these Terms or the Service.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the fullest extent permitted by applicable law.

13. Indemnification

If you use the Service for business purposes, you agree to indemnify, defend, and hold harmless Menufier and its affiliates, officers, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party

14. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

15. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide notice via email or through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Tbilisi, Georgia, unless otherwise required by applicable consumer protection laws.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

16.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Menufier regarding the Service.

16.5 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

16.6 No Partnership

Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and Menufier.
